Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vyder.AI (the "Service"), operated by Vyder.AI ("we", "us", "our"), located at Toronto, Ontario, Canada. By creating an account, purchasing access, or otherwise using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By clicking "I agree", checking a consent box at checkout, creating an account, or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, Refund Policy, AI Disclaimer, and Cookie Policy. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract. By using the Service you represent that you meet these requirements and that your use does not violate any law applicable to you.

3. Account Responsibilities

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to provide accurate, current, and complete information.
  • You must notify us immediately of any unauthorized use of your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use of the Service.

5. Prohibited Activities

  • Reverse engineering, decompiling, or attempting to extract the source code of the Service.
  • Reselling, sublicensing, renting, or redistributing the Service or its outputs as a competing product.
  • Using the Service to harass, defame, or harm any person or entity.
  • Uploading malware, scraping the Service in violation of these Terms, or attempting to disrupt the Service.
  • Using the Service in a way that violates Instagram's, Meta's, or any third-party platform's terms of service.
  • Any activity that is illegal under the laws of Canada, your jurisdiction, or any jurisdiction where the Service is accessed.

6. Intellectual Property

All content, software, design, branding, trademarks, and documentation that make up the Service are owned by Vyder.AI or its licensors and are protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes only.

7. AI-Generated Content Disclaimer

The Service uses artificial intelligence to generate analyses, scores, summaries, and recommendations. AI outputs may be inaccurate, incomplete, or unsuitable for your needs. You are solely responsible for reviewing and validating any output before acting on it. AI-generated content does not constitute professional, legal, financial, medical, or business advice. 8. Billing & Payment Terms

Access to paid features requires a one-time payment processed by our payment providers (currently Stripe and/or PayPal). By submitting payment information, you authorize us and our payment processors to charge the applicable fees. Prices are listed in USD unless otherwise stated and exclude any applicable taxes, which you are responsible for.

9. Subscription Terms

If we offer subscription plans, they renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account settings; cancelling stops future renewals but does not entitle you to a refund of fees already paid.

10. Cancellation Policy

You may stop using the Service or cancel a subscription at any time. Cancellation takes effect at the end of the current billing period. One-time purchases cannot be cancelled once payment has been processed.

11. All Sales Are Final — No Refunds

All sales are final. We do not provide refunds, credits, or exchanges for any purchase under any circumstances, except where a refund is required by applicable law. By completing your purchase you expressly acknowledge and accept this no-refund policy. See our Refund Policy for more detail.

12. No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL PRODUCE ANY SPECIFIC RESULTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VYDER.AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) USD $50.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination shall survive.

15. Changes to These Terms

We may modify these Terms at any time. Material changes will be communicated by posting the updated Terms on this page with a new "Last updated" date. Your continued use of the Service after the changes take effect constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada, for any dispute arising out of or relating to these Terms or the Service.
